1. Acceptance of Terms
Welcome to Ludolio, a platform operated by Ludolio Pty Ltd. ("Ludolio," "we," "us," or "our"). By accessing or using our website at https://ludolio.com, our platform, applications, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not access or use the Services.
These Terms apply to all users of the Services, including libraries, educational institutions (universities and schools), cultural institutions, game developers, students, and any other visitors or users.
2. Description of Services
Ludolio is a digital game lending platform designed to help libraries and educational institutions provide students and patrons with access to digital games for educational and play-based learning purposes. Our Services facilitate:
• The lending and access of digital games by partnering libraries, schools, and universities to their students and patrons;
• Game distribution tools and dashboards for game developers and publishers who wish to make their titles available through the platform;
• Institutional management tools for libraries, schools, and universities to control, manage, and monitor access to game content;
• A secure, rights-protected environment that safeguards the intellectual property of game creators while enabling equitable access for learners.
Ludolio is currently in a waitlist/pre-launch phase. Features, pricing and availability may be subject to change without prior notice.
3. User Accounts and Eligibility
3.1 Eligibility
If you are under 18 years of age, you may only use the Services with the involvement, supervision, and consent of a parent, guardian, or authorized educational institution. Institutional users (libraries, schools, universities) represent and warrant that they have the legal authority to enter into these Terms on behalf of their organization.
3.2 Account Registration
Certain features of the Services may require you to register for an account. You agree to:
• Provide accurate, current, and complete information during registration;
• Maintain and promptly update your account information;
• Maintain the security and confidentiality of your account credentials;
• Notify us immediately of any unauthorized access to or use of your account;
• Accept responsibility for all activity that occurs under your account.
Ludolio reserves the right to suspend or terminate accounts that violate these Terms or that contain inaccurate information.
4. Institutional Users (Libraries, Schools, Universities, Cultural Institutions)
If you are registering or using the Services as a library, school, or university ("Institutional User"), the following additional terms apply:
• You represent and warrant that you are duly authorized to act on behalf of your institution and to bind your institution to these Terms.
• You are responsible for ensuring that your use of the Services, and the use of the Services by your students or patrons through your account, complies with all applicable laws and regulations, including those relating to student data privacy (such as FERPA, COPPA, The Privacy Act, or equivalent regional laws).
• You agree to use the platform's access controls responsibly to ensure that game access is provided only to eligible students or patrons as permitted under any applicable agreements.
• You must not share access credentials or institutional login details with unauthorized third parties.
• You acknowledge that you are solely responsible for supervising student usage of the platform within your institution.
5. Developer and Publisher Users
If you are a game developer or publisher using the Services to distribute your content ("Developer User"), the following applies:
• You represent and warrant that you own or have the necessary rights, licenses, and permissions to distribute your game content through Ludolio.
• You acknowledge that Ludolio implements access controls designed to protect your intellectual property and limit distribution to licensed institutional users.
Additional terms specific to developers are set forth in a separate Developer Agreement, which shall supplement and be incorporated into these Terms.
6. Intellectual Property
6.1 Ludolio's Intellectual Property
The Services, including all software, design, graphics, text, logos, and other content provided by Ludolio (excluding user-submitted or third-party game content), are owned by or licensed to Ludolio and are protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works from our proprietary content without our prior written consent.
6.2 Game Content
All games and game-related content available through the platform are owned by their respective developers or publishers and are protected by copyright and other intellectual property laws. Access to game content through the Services is limited to authorized use as described herein. Users may not copy, extract, redistribute, reverse-engineer, or otherwise exploit game content beyond permitted access.
Authorized Educational Use. Subject to the terms of any applicable institutional or developer agreement, access to game content through the Services is warranted for a broad range of educational and institutional contexts, including but not limited to:
• Use in lectures, seminars, and classroom instruction, whether in-person or remote;
• Use as part of structured assignments, coursework, or curriculum activities facilitated by an authorized institution;
• Public play on premises at authorized library locations, where patrons access games through the institution's licensed account;
• Exhibition, demonstration, or facilitated play in museum, gallery, or cultural institution settings, where such use is approved under an applicable institutional agreement; and
• Any other educational, research, or non-commercial institutional use expressly authorized in writing by Ludolio or covered under a valid institutional license.
6.3 User Feedback
If you submit feedback, suggestions, or ideas about the Services, you grant Ludolio a perpetual, irrevocable, royalty-free, worldwide license to use, incorporate, and build upon such feedback without any obligation to you.
7. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:
• Use the Services in any way that violates applicable local, national, or international law or regulation;
• Access or attempt to access game content or platform features beyond what is permitted by your account type and authorized access;
• Share, distribute, reproduce, or publicly display game content obtained through the platform in any unauthorized manner;
• Attempt to circumvent, reverse-engineer, or interfere with any digital rights management (DRM) systems, access controls, or security features of the platform;
• Introduce viruses, malware, or other malicious code or materials into the Services;
• Harvest or collect personally identifiable information from other users without their express consent;
• Misrepresent your identity, affiliation, or authority to use the Services;
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which may harm Ludolio or users of the Services.
8. Privacy and Data
Our Privacy Policy, available at https://ludolio.com/privacy-policy, describes how we collect, use, store, and disclose information about you and your use of the Services. By using the Services, you consent to our data practices as described in the Privacy Policy, which is incorporated into these Terms by reference.
Ludolio takes the privacy of students and minors seriously. Institutional Users must ensure that any use of the platform involving minors complies with applicable student privacy laws. Ludolio does not knowingly collect personal data from children under 13 without verifiable parental or institutional consent.
9. Disclaimers and Warranties
The services are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted access.
Ludolio does not warrant that the Services will be error-free, secure, or available at any particular time or location. We do not warrant that any game content available through the platform will meet your educational needs or expectations. Ludolio reserves the right to modify, suspend, or discontinue any part of the Services at any time without notice.
10. Limitation of Liability
To the fullest extent permitted by applicable law, ludolio and its officers, directors, employees, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business interruption, arising out of or in connection with your use of or inability to use the services, even if ludolio has been advised of the possibility of such damages.
In no event shall ludolio's total liability to you for all claims arising out of or relating to these terms or the services exceed the greater of (a) the amounts paid by you to ludolio in the three (3) months preceding the claim, or (b) one hundred dollars (usd $100).
11. Indemnification
You agree to defend, indemnify, and hold harmless Ludolio and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) any content you submit, post, or transmit through the Services.
12. Third-Party Links and Content
The Services may contain links to third-party websites or services. These links are provided for your convenience only. Ludolio does not endorse, control, or assume responsibility for any third-party websites or content. Your use of third-party sites is governed by the terms and privacy policies of those sites.
13. Termination
Ludolio may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including sections on intellectual property, disclaimers, limitation of liability, and indemnification.
You may discontinue your use of the Services at any time. Institutional or developer accounts may be subject to additional termination procedures as set out in separate agreements.
14. Modifications to Terms
Ludolio reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a revised effective date, or by sending you an email if we have your contact information. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
15. Governing Law and Dispute Resolution
These Terms and any disputes arising out of or related to the Services shall be governed by and construed in accordance with the laws of the jurisdiction in which Ludolio is incorporated, without regard to conflict of law principles. Any disputes that cannot be resolved informally shall be submitted to binding arbitration in accordance with applicable arbitration rules, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction.
If you are an institutional user located in a jurisdiction with mandatory consumer or educational protection laws that cannot be waived, nothing in these Terms shall limit your rights under those laws.
16. General Provisions
• Entire Agreement: These Terms, together with the Privacy Policy and any applicable developer or institutional agreements, constitute the entire agreement between you and Ludolio regarding the Services.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Ludolio's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer your rights under these Terms without Ludolio's prior written consent. Ludolio may freely assign its rights and obligations under these Terms.
